TERMS OF USE

1.About the Platform

Rechic L.L.C-FZ (“we”, “our”, “us”) operates Rechic (the “Platform”), an online marketplace that enables individuals and businesses in the UAE to list, buy and sell pre-owned clothing and accessories. The Platform is accessible via https://rechic.app/ and the Rechic mobile application, available on iOS and Android.

We act as a marketplace facilitator only. We are not a party to any transaction between buyers and sellers, and we do not own, inspect, store or ship any items listed on the Platform.

2.Acceptance of These Terms

By accessing or using the Platform, whether as a registered user or a visitor, you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you must not use the Platform.

These Terms should be read together with our Terms and Conditions, Privacy Policy and Cookies Policy, and any other policies published on the Platform from time to time. The Terms and Conditions govern detailed commercial matters including fees, transactions, payment processing, authentication, dispute resolution, returns and refunds, concierge services, limitation of liability, and indemnification. In the event of any conflict between these Terms and the Terms and Conditions, the Terms and Conditions shall prevail in respect of commercial matters, and these Terms shall prevail in all other respects.

Capitalised terms used in these Terms but not defined herein have the meanings given to them in the Terms and Conditions.

We reserve the right to update these Terms at any time. We will notify registered users of material changes by email or by posting a notice on the Platform. Your continued use of the Platform following notification of any changes constitutes your acceptance of the updated Terms.

3.Eligibility and Account Registration

Registration eligibility: To register on the Platform, you must:

Confidentiality of account credentials: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at​ legal@rechic.app if you become aware of any unauthorised use of your account.

Age verification: We reserve the right to require verification of age (by Emirates ID, passport, or equivalent) at any time. Accounts created by persons under 18 years of age will be immediately suspended and personal data deleted.

Accurate identity: Users must provide accurate, current, and complete registration information and may not impersonate another person or misrepresent their identity. We reserve the right to restrict, suspend, or refuse accounts that we reasonably believe are misleading, fraudulent, duplicate, or operated in breach of these Terms.

No duplicate accounts: We reserve the right to restrict, merge, suspend, or terminate duplicate or related accounts where reasonably necessary for fraud prevention, compliance, operational, or security purposes.

Further eligibility obligations: Further terms on KYC, sanctions screening, and payout account requirements are set out in Sections 3.4 to 3.6 of the Terms and Conditions.

We reserve the right to refuse registration, suspend or permanently deactivate any account that is found to be in breach of these Terms, any other terms and policies of the Platform, or applicable law.

4.Buying and Selling on the Platform

Sellers: By listing an item on the Platform, you represent and warrant that:

You are responsible for fulfilling confirmed orders promptly, packaging items securely and in accordance with the details set out in your listing.

Authentication is governed by Section 6, order formation and the offer mechanism by Section 9, and cancellations by Section 10 of the Terms and Conditions. By listing or purchasing on the Platform, you agree to be bound by those provisions.Shipping, delivery, and risk-of-loss provisions are set out in Section 11 of the Terms and Conditions. The Buyer Inspection Window, dispute process, and buyer and seller protection provisions are set out in Section 15 of the Terms and Conditions.

Buyers: By placing an order, you enter into a binding purchase agreement directly with the seller. You agree to complete payment promptly upon confirmation of your order. You acknowledge that item descriptions and photographs are provided by sellers and that we do not independently inspect, verify or guarantee the accuracy, condition or authenticity of any item listed on the Platform.

Prohibited items: The following items are strictly prohibited from being listed, offered for sale or sold on the Platform. This list is not exhaustive and we reserve the right to update it at any time:

Hygiene policy: Sellers must ensure that all items are delivered in a clean, hygienic, and wearable condition. Rechic reserves the right to remove listings or restrict categories where hygiene, health, or safety concerns may arise. Certain items, including underwear, swimwear, lingerie, or pierced jewellery, may be restricted at Rechic's discretion.

We reserve the right to remove any listing that we reasonably believe violates these Terms or applicable law, without prior notice and without liability to the seller. Where we suspect a listing involves criminal activity, we may report it to the relevant UAE authorities.

Condition Grading

Our condition grading scale for the items is as follows:

5.Platform Rules and Prohibited Conduct

When accessing or using the Platform, you must not engage in any of the following conduct. This list is not exhaustive, and we reserve the right to determine, in our sole discretion, whether conduct not listed below nevertheless violates these Terms.

The users must not share, solicit, or use personal contact information to facilitate a transaction outside the Platform. Prohibited conduct under this section includes without limitation:

Monitoring Disclosure

Rechic monitors in-Platform messaging for compliance with these Terms. By using the Platform’s messaging feature, you consent to this monitoring. Monitoring is carried out for the purposes of fraud prevention, platform safety, and enforcement of these Terms.

Enforcement

Any breach of these rules may result in the immediate suspension or permanent removal of your account, the cancellation of any pending transactions and the forfeiture of any associated funds, without prior notice and without liability to you.

Breaches of any of the prohibitions or terms will be subject to enforcement action commensurate with their severity, which may include without limitation:

Where we reasonably suspect that a breach involves criminal activity, a violation of UAE law or a risk to the safety of any person, we will report the matter to the relevant UAE regulatory, law enforcement or public authorities without further notice to you.

6.Fees and Transactions

Our current fee structure applicable to the Platform transaction is set out in Section 13.1 of the Terms and Conditions, and it may evolve over time.

All transactions on the Platform are processed through our authorised payment partner(s).

Full details of payment processing, escrow, Seller Payouts, Chargeback rules, and fee amendment provisions are set out in Section 13 of the Terms and Conditions.

By completing a transaction, you agree to be bound by the Payment Service Provider’s terms of service (as defined in and in accordance with Section 13.2 of the Terms and Conditions) in addition to these Terms.

7.Intellectual Property

All content on the Platform that is owned or licensed by us, including our name, logo, design, software and text, is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property without our prior written consent.

By uploading content to the Platform (including listing photographs and descriptions), you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and display that content for the purposes of operating and promoting the Platform, notwithstanding any suspension or termination of your account on the Platform. You represent that you own or have the necessary rights to any content you upload. A substantially equivalent content licence is also granted under Section 5.5 of the Terms and Conditions.

IP indemnification obligations are set out in Section 16.3 of the Terms and Conditions. Brand-owner notice and takedown, counter-notice, and AI-generated content provisions will be addressed in the Terms and Conditions or the relevant policy as published on the Platform from time to time.

8.User Content and Reviews

You are solely responsible for any content you post on the Platform, including listings, reviews, ratings and messages. You must not post content that is false, defamatory, offensive, discriminatory or in breach of any applicable law.

The following guidelines apply to reviews on the Platform:

We reserve the right to remove any user content that we consider, in our sole discretion, to be in breach of these Terms or otherwise inappropriate, without prior notice and without liability. The Company’s parallel provisions on listing content obligations and User Content licence are set out in Sections 5 and 5.5 of the Terms and Conditions respectively.

9.Privacy and Data Protection

Our collection and use of your personal data is governed by our Privacy Policy. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

10.Suspension and Termination

We may suspend or terminate your access to the Platform at any time and without prior notice if we reasonably believe that you have breached these Terms, engaged in fraudulent or unlawful activity, or if we are required to do so by applicable law or a competent authority.

Further and more detailed suspension and termination provisions, including grounds for termination, the effect of termination on pending transactions and Payouts, data retention obligations, and survival of clauses, are set out in Section 21 of the Terms and Conditions.

You may close your account at any time by contacting us at the details below (See Section 14 (Contact Us) below). Closing your account does not affect any outstanding obligations you may have to us or to other users, including in respect of pending or completed transactions.

11.Modifications to the Platform

We reserve the right to modify, suspend or discontinue any part of the Platform at any time, with or without notice, and without liability to you. We will use reasonable endeavours to provide advance notice of any planned downtime or significant changes to the Platform’s features.Where changes to the Terms and Conditions are material, not less than five (5) days’ advance notice will be given to registered Users in accordance with Section 23.2 of the Terms and Conditions. The same notice standard applies to material changes to these Terms. Force majeure and UAE public-holiday service-level provisions are set out in Sections 22 and 23.3 of the Terms and Conditions.

12.Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the UAE as applicable in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai. Before commencing formal legal proceedings, Users agree to attempt to resolve disputes in good faith through the Company’s internal dispute resolution process set out in Section 15 of the Terms and Conditions. Additional governing law provisions, including the urgent injunctive relief carve-out, are set out in Section 26 of the Terms and Conditions.

13.Dispute Resolution and Returns

Detailed dispute resolution, Buyer Inspection Window, buyer protection, and seller protection provisions are set out in Section 15 of the Terms and Conditions. Returns and refund provisions are set out in Section 14 of the Terms and Conditions. All such provisions apply to transactions conducted through the Platform.
